Please read these Terms of Service carefully before using the StayShift platform. By accessing or using our services, you agree to be bound by these terms.

Acceptance of Terms

By accessing, browsing, or using the StayShift website, mobile application, or any related services (collectively, the "Platform"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms") and our Privacy Policy.

These Terms constitute a legally binding agreement between you and EchoDial LLC d/b/a StayShift ("StayShift," "we," "us," or "our"). If you do not agree to these Terms, you must not access or use the Platform.

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to the Platform. Your continued use of the Platform after any changes constitutes your acceptance of the new Terms. We will make reasonable efforts to notify you of material changes via email or Platform notification.

Definitions

For purposes of these Terms:

  • "Guest" means a registered user who books and pays for RV parking spots through the Platform.
  • "Host" means a registered user who lists and offers RV parking spots for rent through the Platform.
  • "Listing" means an RV parking spot or accommodation listed by a Host on the Platform.
  • "Booking" means a confirmed reservation made by a Guest for a Listing.
  • "User" or "you" means any person who accesses or uses the Platform, whether as a Guest, Host, or visitor.
  • "Content" means text, images, photos, videos, reviews, listings, messages, and any other materials posted on or transmitted through the Platform.
  • "Host Guarantee" means StayShift's property damage protection program providing up to $1,000,000 in coverage as described in our Host Guarantee Terms.

Eligibility & User Requirements

3.1 Age Requirement

You must be at least 18 years of age to use the Platform. By using the Platform, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

3.2 Account Accuracy

You agree to provide accurate, current, and complete information during registration and to update such information to maintain its accuracy. You are responsible for safeguarding your account credentials and for any activities or actions under your account.

3.3 Geographic Restrictions

The Platform is intended for use within the United States. We make no representation that the Platform is appropriate or available for use in other locations. If you access the Platform from outside the United States, you do so at your own risk and are responsible for compliance with local laws.

3.4 Verification

We reserve the right to verify your identity, contact information, or other information you provide. You agree to cooperate with any such verification requests and acknowledge that we may suspend or terminate your account if you fail to provide adequate verification.

User Accounts

4.1 Account Registration

To access certain features of the Platform, you must create an account. You agree to provide accurate and complete information and to keep this information up to date. You are solely responsible for maintaining the confidentiality of your account password and for all activities that occur under your account.

4.2 Account Security

You must immediately notify StayShift of any unauthorized use of your account or any other breach of security. StayShift will not be liable for any loss or damage arising from your failure to comply with this security obligation.

4.3 Account Termination

You may terminate your account at any time by contacting us. We reserve the right to suspend or terminate your account at our sole discretion, without notice, for conduct that we believe violates these Terms, is harmful to other users, us, or third parties, or for any other reason.

4.4 One Account Per User

Each user may maintain only one active account. Creating multiple accounts to circumvent reviews, suspensions, or other Platform policies is strictly prohibited and may result in permanent termination of all accounts.

Platform Services

5.1 Service Description

StayShift provides an online marketplace connecting Hosts who have RV parking spots available with Guests seeking temporary RV parking accommodations. StayShift is not a party to the rental agreements between Hosts and Guests and is not responsible for the actions or omissions of any Host or Guest.

5.2 For Hosts

As a Host, you may create Listings for RV parking spots you own or have authorization to rent. You are responsible for:

  • Ensuring your Listing is accurate, complete, and up to date
  • Obtaining all necessary permits, licenses, and permissions required by law
  • Complying with all applicable laws, regulations, and HOA/property rules
  • Providing the parking spot in a safe, clean, and habitable condition
  • Being available to Guests during their stay for any issues or emergencies
  • Maintaining appropriate insurance coverage for your property

5.3 For Guests

As a Guest, you may search, view, and book available Listings. You are responsible for:

  • Reading and understanding the Listing details and Host rules before booking
  • Treating the Host's property with respect and care
  • Complying with all Host rules and local regulations
  • Leaving the parking spot in the same condition as you found it
  • Reporting any damage or issues to the Host and StayShift promptly
  • Maintaining appropriate RV insurance coverage

5.4 Third-Party Services

The Platform may integrate with or provide links to third-party services, including payment processors, mapping services, and communication tools. Your use of such third-party services is subject to their respective terms of service and privacy policies. StayShift is not responsible for the availability, accuracy, or content of third-party services.

Fees & Payment

6.1 Host Service Fee

StayShift charges Hosts a service fee of 3% of the booking subtotal for each confirmed booking. This fee is automatically deducted from the Host's payout and covers the cost of providing and maintaining the Platform, payment processing, customer support, and the Host Guarantee program.

6.2 Guest Fees

StayShift does not charge Guests any service fees or booking fees. Guests pay only the price set by the Host for the RV parking spot rental.

6.3 Payment Processing

All payments are processed securely through our third-party payment processor, Stripe. By using the Platform, you agree to comply with Stripe's terms of service. Payments are typically processed as follows:

  • Guest payment is collected at the time of booking confirmation
  • Funds are held securely until 24 hours after check-in
  • Host payout (minus the 3% service fee) is released after the 24-hour period
  • Payouts are typically received within 3-5 business days

6.4 Pricing & Taxes

Hosts are solely responsible for setting their own prices and for determining and collecting any applicable taxes (including occupancy taxes, sales taxes, VAT, or similar). StayShift does not automatically collect or remit taxes on behalf of Hosts. Hosts must comply with all tax obligations in their jurisdiction.

6.5 Currency

All prices on the Platform are displayed and processed in United States Dollars (USD).

6.6 Payment Disputes

If you believe a charge is incorrect, you must contact us within 30 days of the charge. We will investigate and work to resolve the issue in good faith. Chargebacks initiated without first contacting StayShift may result in account suspension or termination.

7

Cancellations & Refunds

7.1 Guest Cancellation Policy

StayShift operates a strict 14-day cancellation policy to balance flexibility for guests with protection for hosts:

✓ Automatic Cancellation (More than 14 days before check-in)

  • 100% full refund - No questions asked
  • Instant processing - Cancellation and refund are automatic
  • 5-10 business days - Refund credited to original payment method

⚠ Host Approval Required (Within 14 days of check-in)

  • Cancellation request - Guest must submit a cancellation request to the host
  • Host decision - Host has the right to approve or decline the request
  • If approved - Full refund (100%) is processed immediately
  • If declined - Booking remains active with no refund (0%)

✕ No Cancellations After Check-In

Once the check-in date has passed, cancellations are not permitted under any circumstances. This policy protects both guests and hosts from potential abuse.

Important: Guests MUST cancel at least 14 days before their booked reservation to receive an automatic full refund. Cancellations within the 14-day window are subject to host approval. StayShift will facilitate communication between guests and hosts but cannot guarantee host approval of last-minute cancellation requests.

Refunds are processed through Stripe and typically appear in the guest's account within 5-10 business days, depending on the guest's financial institution. StayShift does not charge any cancellation fees.

7.2 Host Cancellation Prohibition

Hosts may not cancel confirmed bookings. Accepting a booking creates a binding commitment to provide the parking spot as advertised. Host cancellations undermine Guest trust and negatively impact the StayShift community.

In exceptional circumstances (e.g., natural disasters, property damage, legal emergencies), Hosts must contact StayShift support immediately. We will review the situation on a case-by-case basis. Unauthorized Host cancellations may result in:

  • Account suspension or permanent termination
  • Financial penalties to compensate the Guest
  • Negative impact on Host rating and visibility
  • Loss of Superhost status (if applicable)

7.3 Modification of Bookings

Guests and Hosts may mutually agree to modify booking dates, duration, or pricing. All modifications must be processed through the Platform to ensure proper documentation and payment adjustments. StayShift is not responsible for modifications made outside the Platform.

7.4 Force Majeure

In cases of force majeure events (natural disasters, government restrictions, public health emergencies, etc.) that make it impossible or illegal to complete a booking, special cancellation policies may apply. Contact StayShift support for assistance.

User Conduct & Prohibited Activities

You agree to use the Platform in accordance with all applicable laws and regulations. The following activities are strictly prohibited:

8.1 Prohibited Conduct

  • Discriminating against users based on race, religion, national origin, disability, gender, sexual orientation, or any other protected characteristic
  • Posting false, misleading, or fraudulent Listings or information
  • Circumventing or attempting to circumvent the payment system
  • Requesting or accepting payment outside the Platform
  • Posting duplicate listings or creating fake bookings
  • Harassing, threatening, or abusing other users
  • Posting or transmitting harmful, offensive, or illegal content
  • Violating intellectual property rights of others
  • Attempting to hack, scrape, or otherwise compromise Platform security
  • Using the Platform for any illegal purpose or in violation of local laws
  • Spamming, phishing, or distributing malware
  • Impersonating another person or entity

8.2 Content Standards

All Content you post must be accurate, lawful, and respectful. Content must not contain:

  • Profanity, hate speech, or discriminatory language
  • Personal information of others (phone numbers, addresses, email)
  • Links to external websites or competitor platforms
  • Promotional or commercial content unrelated to the Listing

8.3 Enforcement

StayShift reserves the right to remove any Content, suspend or terminate accounts, and take legal action against users who violate these Terms. We may also report illegal activity to law enforcement authorities.

9

Liability & Insurance

9.1 Platform Role

StayShift is a marketplace platform only. We facilitate connections between Hosts and Guests but are not a party to rental agreements. StayShift does not own, operate, manage, or control any Listings. We are not responsible for the conduct, performance, or safety of any Host, Guest, or Listing.

9.2 Host Guarantee Program

StayShift offers Hosts up to $1,000,000 in property damage protection through our Host Guarantee program. This protection is subject to the terms, conditions, exclusions, and deductibles set forth in the Host Guarantee Terms. Key details include:

  • Coverage limit: Up to $1,000,000 per occurrence
  • Property damage deductible: $250 per claim
  • Personal property limit: Up to $50,000 with $250 deductible
  • Liability coverage: Up to $1,000,000 with no deductible
  • Coverage applies only to damage caused by Guests during active bookings
  • Claims must be reported within 14 days of incident

The Host Guarantee is not a substitute for homeowner's or property insurance and does not cover all types of damage or liability. Hosts are strongly encouraged to maintain their own insurance policies.

9.3 Insurance Requirements

Hosts: You are solely responsible for maintaining adequate insurance coverage for your property, including general liability insurance. The Host Guarantee does not replace or substitute for such insurance.

Guests: You must maintain insurance for your RV and personal belongings. StayShift is not responsible for damage to or theft of your vehicle or property.

9.4 Disclaimer of Warranties

IMPORTANT LEGAL NOTICE:

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. STAYSHIFT DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. STAYSHIFT DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

9.5 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STAYSHIFT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • (a) Your use or inability to use the Platform
  • (b) Any conduct or content of third parties on the Platform
  • (c) Unauthorized access or alteration of your data
  • (d) Property damage, personal injury, or death resulting from Listings

STAYSHIFT'S TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF $100 USD OR THE AMOUNT OF SERVICE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.

9.6 Indemnification

You agree to indemnify, defend, and hold harmless StayShift, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorney's fees) arising from:

  • Your use of the Platform
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your Listings, bookings, or interactions with other users

Dispute Resolution & Arbitration

MANDATORY ARBITRATION NOTICE:

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

10.1 Informal Resolution

Before initiating arbitration, you agree to first contact StayShift to attempt to resolve any dispute informally. Send a written description of your dispute to:

We will attempt to resolve the dispute within 30 days. If we cannot reach a resolution, either party may proceed to arbitration.

10.2 Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms, the Platform, or your relationship with StayShift shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Consumer Arbitration Rules.

Key arbitration terms:

  • Arbitration will be conducted in Perry, Florida or remotely by video conference
  • The arbitrator's decision is final and binding
  • Judgment on the award may be entered in any court of competent jurisdiction
  • Each party bears its own attorney's fees unless the arbitrator awards fees to the prevailing party
  • StayShift will pay the arbitration filing fee for claims under $10,000

10.3 Class Action Waiver

YOU AND STAYSHIFT AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding.

10.4 Exceptions

Notwithstanding the above, either party may bring an action in small claims court if the claim qualifies, and either party may seek injunctive or equitable relief in court for infringement or misuse of intellectual property rights.

10.5 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any arbitration or court proceeding shall take place in Taylor County, Florida.

Intellectual Property

11.1 StayShift Property

The Platform, including its design, text, graphics, logos, icons, images, software, and other content (collectively, "StayShift Property"), is owned by or licensed to StayShift and is protected by copyright, trademark, and other intellectual property laws.

11.2 User Content License

By posting Content on the Platform, you grant StayShift a worldwide, non-exclusive, royalty-free, perpetual, transferable license to use, reproduce, modify, display, distribute, and create derivative works from your Content for purposes of operating and improving the Platform and marketing our services.

11.3 Trademarks

"StayShift," the StayShift logo, and other marks are trademarks of EchoDial LLC. You may not use these marks without our prior written permission.

11.4 Copyright Infringement

If you believe any Content on the Platform infringes your copyright, please send a notice to legal@stayshift.com with the required information per the Digital Millennium Copyright Act (DMCA).

12

General Provisions

12.1 Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and StayShift regarding the Platform.

12.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

12.3 No Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

12.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. StayShift may assign these Terms without restriction.

12.5 Survival

Sections relating to intellectual property, liability, indemnification, dispute resolution, and general provisions shall survive termination of these Terms.
